End User License Agreement

This End User License Agreement ("EULA") is a binding legal agreement between you, as the original purchaser or recipient ("User" or "you"), and Vokalen ("Vokalen"). Vokalen products are owned by Sonictek Electronics Inc., located at 2325-6900 Graybar Road, Richmond, BC V6W 0A5. This EULA governs your use of the application ("Application") and the associated software, services, and support materials. By using the Application, you agree to the terms outlined in this EULA. Vokalen reserves the right to change or modify any terms and conditions of this EULA without notice, with changes taking effect immediately upon posting. Vokalen retains all rights, titles, and interests in and to the Application, including all copyrights, trademarks, and other intellectual property rights, except as explicitly granted to you herein.

  1. License

Subject to the terms of this EULA, Vokalen grants you a limited, non-exclusive license (without the right to sublicense) to download, install, and use the Application for personal, non-commercial purposes on a single mobile device owned or controlled by you ("Mobile Device"), in accordance with the Application's documentation.

  1. Restrictions

You agree not to, and will not permit others to: (a) copy the Application except as permitted by this EULA; (b) modify, translate, adapt, or create derivative works or improvements of the Application; (c) reverse engineer, disassemble, decompile, or attempt to derive the source code of the Application; (d) remove or alter any trademarks, copyrights, or proprietary notices; (e) distribute, sell, lease, or make the Application available to third parties; or (f) bypass any security features of the Application.

  1. Third-Party Terms

This EULA does not override third-party terms, including Apple Media Services Terms and Conditions (link: https://www.apple.com/legal/internet-services/itunes/us/terms.html) and Google Play Terms of Service (link: https://play.google.com/intl/en_US/about/play-terms/). You must comply with applicable third-party terms.

  1. Software Updates

Vokalen may develop and provide updates that may include new features, fixes, or enhancements ("Updates"). These Updates may automatically install based on your device settings or may require your consent. It is recommended to install all Updates to ensure the Application functions correctly.

  1. Open Source Software

The Application may include open source software, which is governed by separate license agreements. These rights supersede the terms of this EULA where applicable.

  1. Data Use Consent

Vokalen does not collect or use any personal or technical data from your device during your use of the Application. Your privacy is important to us, and no information is gathered, stored, or shared without your explicit consent.

  1. Term and Termination

This EULA is effective upon downloading or installing the Application and remains in effect until terminated. You may terminate this EULA by discontinuing use and destroying all copies of the Application. Vokalen may terminate this EULA if you violate its terms or if it decides to discontinue support for the Application.

  1. Warranty Disclaimer

USE OF THE APPLICATION IS AT YOUR OWN RISK. THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. VOKALEN DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

  1. Limitation of Liability

VOKALEN IS NOT LIABLE FOR INDIRECT DAMAGES RELATED TO YOUR USE OF THE APPLICATION. VOKALEN'S TOTAL LIABILITY WILL NOT EXCEED $50, EXCEPT AS REQUIRED BY APPLICABLE LAW.

  1. Indemnification

You agree to indemnify Vokalen against any claims or expenses related to your use of the Application or violation of this EULA.

  1. Export Regulation

The Application may be subject to export laws. You agree not to export the Application except in compliance with these laws.

  1. Severability

If any part of this EULA is found to be unenforceable, the remainder will continue in effect.

  1. Governing Law

This EULA is governed by the laws of Illinois. Disputes must be resolved in Cook County, Illinois, unless otherwise required by your jurisdiction.

  1. Entire Agreement

This EULA constitutes the entire agreement regarding the Application and supersedes all prior agreements. Any changes must be in writing and signed by Vokalen.

Waiver

No delay or failure to exercise rights under this EULA constitutes a waiver of those rights.
